For value received, the undersigned, as Guarantor (which term includes any successor Person under the Indenture hereinafter referred to), has agreed, as primary obligor and not merely as surety, to fully and unconditionally meet the payment and performance of the obligations of the Company (as defined below) under the Securities (as defined below) and the Indenture, dated as of August 6, 2010 (as amended, modified or supplemented from time to time, including as supplemented by the First Supplemental Indenture, dated as of September 17, 2012, “Indenture”), between Infinity Property and Casualty Corporation (“Company”), and U.S. Bank National Association, as trustee (“Trustee”). The Company has issued to date 5.000% Senior Notes due 2022 (“Securities”) under the Indenture and may from time to time issue additional debt securities.
