This Strategic Alliance Agreement (this “Agreement”) is executed effective January 5, 2015 (the “Effective Date”), by and among OneSubsea LLC, a limited liability company organized under the laws of the State of Delaware (“OneSubsea US”), OneSubsea B.V., a Netherlands private company with limited liability (“OneSubsea BV”), Helix Energy Solutions Group, Inc., a corporation organized under the laws of Minnesota (“Helix”), Schlumberger Technology Corporation, a corporation organized under the laws of Texas (“STC”), Schlumberger B.V., a limited liability company organized under the laws of the Netherlands (“SLBV”), and Schlumberger Oilfield Holdings Limited, a Business Company of the British Virgin Islands (“SOHL”).
