THIS EMPLOYMENT AGREEMENT (the “Agreement”) is entered into as of the first day of January 2005, by and between Bruce N. Barron (“Employee”), and APPLIED NEUROSOLUTIONS, INC. ("APNS"), a Delaware corporation having its principal place of business in Vernon Hills, Illinois (the “Company”). In consideration of the mutual covenants and conditions set forth herein, the parties hereby agree as follows:

THIS AGREEMENT (the “Agreement”) is entered into as of the 14th day of July, 2006, by and between John F. DeBernardis (“Employee”), and APPLIED NEUROSOLUTIONS, INC. ("APNS"), a Delaware corporation having its principal place of business in Vernon Hills, Illinois (the “Company”) (collectively the “Parties”). The Parties have previously entered into an Employment Agreement (“Employment Agreement”) (Attachment A) dated November 1, 2004. In consideration of the mutual covenants and conditions set forth herein, the parties hereby agree as follows:

This Third Amendment Agreement is made effective October 30, 2006 by and between Albert Einstein College of Medicine of Yeshiva University, a Division of Yeshiva University, a corporation organized and existing under the laws of the State of New York, having an office and place of business at 1300 Morris Park Avenue, Bronx, New York 10461 ("AECOM") and Applied NeuroSolutions, Inc. (formerly known as Molecular Geriatrics Corp.), a corporation organized and existing under the laws of the State of Delaware, having an office and place of business at 50 Lakeview Parkway, Suite 111, Vernon Hills, Illinois 60061 ("Licensee").

This Collaboration Agreement (this “Agreement”) is made as of this 27th day of November, 2006 (the “Effective Date”) by and between Applied NeuroSolutions, Inc., a corporation organized and existing under the laws of the State of Delaware, having its principal place of business at 50 Lakeview Parkway, Suite 111, Vernon Hills, IL 60061 (“APNS”), and Eli Lilly and Company, a corporation organized and existing under the laws of the State of Indiana, having its principal place of business at Lilly Corporate Center, Indianapolis, Indiana 46285 (“LILLY”).
