LINE OF CREDIT AGREEMENT (this “Agreement”), dated as of June 16, 2015, between ISIS PHARMACEUTICALS, INC. (the “Borrower”), and MORGAN STANLEY PRIVATE BANK, NATIONAL ASSOCIATION, a national banking association (the “Lender”).

This LICENSE AGREEMENT (the “Agreement”) is entered into as of the 1st day of May, 2015 (the “Execution Date”) by and between Isis Pharmaceuticals, Inc., a Delaware corporation, having its principal place of business at 2855 Gazelle Court, Carlsbad, CA 92010, USA (“Isis”), and Bayer Pharma AG, a company organized under the laws of Germany, having its principal place of business at Muellerstraße 178, 13353 Berlin, Germany (“Bayer”). Bayer and Isis each may be referred to herein individually as a “Party” or collectively as the “Parties.” Capitalized terms used in this Agreement, whether used in the singular or the plural, have the meaning set forth in Appendix 1. All attached appendices and schedules are a part of this Agreement.
