THIS RESTRICTED STOCK AGREEMENT (the “Agreement”) is made and entered into by and between OUTBACK STEAKHOUSE, INC., a Delaware corporation (the “Company”), and DIRK MONTGOMERY (“Grantee”), effective on the date of commencement of Grantee’s employment with the Company, under the following circumstances:

THIS EMPLOYMENT AGREEMENT (the “Agreement”) is made and entered into effective this 18th day of October, 2005, by and among DIRK MONTGOMERY (hereinafter referred to as “Employee”) and OUTBACK STEAKHOUSE, INC., a Delaware corporation having its principal office at 2202 N. West Shore Boulevard, 5th Floor, Tampa, Florida 33607 (the “Company”).
