THIS AGREEMENT AND PLAN OF REORGANIZATION (the Agreement) is made as of June 2, 2014, by and between Fidelity Freedom K 2000 Fund (the Acquired Fund) and Fidelity Freedom K Income Fund (the Acquiring Fund), each a series of Fidelity Aberdeen Street Trust, a Delaware statutory trust (the "Trust"). The Trust is a duly organized statutory trust under the laws of the State of Delaware with its principal place of business at 245 Summer Street, Boston, Massachusetts 02210. The Acquiring Fund and the Acquired Fund may be referred to herein collectively as the "Funds" or each individually as the "Fund."

AGREEMENT made this 15th day of May, 2014, by and between Fidelity Aberdeen Street Trust, a Delaware statutory trust which may issue one or more series of shares of beneficial interest (hereinafter called the "Trust"), on behalf of Fidelity Advisor Freedom 2060 Fund, a series of the Trust, (hereinafter called the "Fund"), and Strategic Advisers, Inc., a Massachusetts corporation (hereinafter called the "Adviser") as set forth in its entirety below.
