NON-EXCLUSIVE PATENT LICENSE THIS NON-EXCLUSIVE PATENT LICENSE (this “Agreement”) is entered into this 6th day of November, 2006 (the “Effective Date”), and shall be treated as in full force and effect as of October 1, 2006, by and between Palomar Medical Technologies, Inc., a Delaware corporation, with offices at 82 Cambridge Street, Burlington, MA 01803 (“Palomar”), and Cynosure, Inc., a Delaware corporation with offices at 5 Carlisle Road, Westford, MA 01886 (“Cynosure”) (Palomar together with all Palomar Affiliates (as defined below) on the one hand, and Cynosure together with all Cynosure Affiliates (as defined below) on the other hand, each a “Party”, and together, the “Parties”). WITNESSETH: WHEREAS, Palomar has a license from MGH under the Anderson Patents (both as defined below) relating to the use of light to remove hair; WHEREAS, Cynosure and Cynosure Affiliates desire to obtain, and Palomar is willing to grant, a non-exclusive, royalty-bearing sublicense under the Anderson
