The Certificates will be issued pursuant to a pooling and servicing agreement (the “Pooling and Servicing Agreement”) to be dated as of May 1, 2006 (the “Cut-off Date”) among the Company, as depositor, Homecomings Financial Network, Inc., as servicer, and Wells Fargo Bank, N.A., as trustee (the “Trustee”).
