This DISTRIBUTION AGREEMENT, dated as of Dec. 5, 2001 by and between EACH CALVERT FUND LISTED IN THE SCHEDULE OF FUNDS ATTACHED HERETO AS SCHEDULE I (each a "Fund" and together the "Funds"), as such schedule may, from time to time be amended, and CALVERT DISTRIBUTORS, INC., a Delaware corporation (the "Distributor").

This Agency Agreement, originally entered into January 1, 1998, by and between Calvert Shareholder Services, Inc., a Delaware corporation having its principal place of business in Bethesda, Maryland ("CSS"), and registered investment companies sponsored by Calvert Group, Ltd. and its subsidiaries and set forth on Schedule A ("Calvert Group Funds" or "Funds") and amended and restated October 31, 2000 to add Calvert Impact Fund, Inc. as a party. The Funds have entered into a transfer agency and service agreement with the State Street Bank and Trust of Boston, Massachusetts ("State Street") ("State Street Agreement").

For its services under this Administrative Services Agreement, CASC is entitled to receive FROM EACH Portfolio of Calvert Municipal Fund, Inc. a fee of 10 basis points based on aggregate net assets.

As compensation pursuant to Section 4 of the Investment Advisory Agreement between Calvert Asset Management Company, Inc. (the "Advisor") and Calvert Municipal Fund, Inc. ("CMF") dated March 1, 1999, with respect to each CMF Fund, the Advisor is entitled to receive from each Fund an annual advisory fee (the "Fee") as shown below. The Fee shall be computed daily and payable monthly, based on the average daily net assets of the appropriate Fund.
