VOTING TRUST AGREEMENT This Voting Trust Agreement (the "Agreement") is entered into as of November 25, 1996 (the "Effective Date"), by and among Excite, Inc., a California corporation (the "Company"), America Online, Inc., a Delaware corporation (the "Shareholder"), AOL Ventures, Inc., a Delaware corporation and wholly owned subsidiary of the Shareholder ("AOL Ventures"), and Richard Redding (the "Voting Trustee"). References herein to the Shareholder shall be deemed to include AOL Ventures.
