THIS RESTRICTED STOCK AWARD AGREEMENT (“Agreement”) is entered into effective this ___ day of ____, 20__, by USA Truck, Inc. (“Company”) and ________ (“Participant”) to evidence an award of restricted stock on this date to Participant pursuant to the Company’s 2004 Equity Incentive Plan (the “Plan”).
