INVESTMENT SUBADVISORY AGREEMENT, effective May 31, 2007, by and between CALVERT ASSET MANAGEMENT COMPANY, INC., a Delaware corporation registered as an investment Advisor under the Investment Advisers Act of 1940 (the "Advisor"), and F&C MANAGEMENT LIMITED, a corporation organized under the laws of England and Wales registered as an investment Advisor under the Investment Advisers Act of 1940 and in the conduct of Investment Business by the Financial Services Authority ("FSA") of the United Kingdom (the "Subadvisor").
