AMENDMENT NUMBER ONE TO TRUST AGREEMENT FOR RICHARD D. FAIN This Amendment Number One, dated as of September 30, 1998, is by and between Royal Caribbean Cruises Ltd. (the “Company”) and Gary Hammond (the “Trustee”). Whereas, the Company and the Trustee have entered into the Trust Agreement for Richard D. Fain dated as of June 30, 1994 (the “Trust Agreement”); and Whereas, the parties wish to amend the Trust Agreement; Now, therefore, in consideration of the premises, and for other good and valuable consideration the sufficiency and receipt of which are hereby acknowledged, the parties hereto hereby agree as follows: Section 1. The first sentence of the second paragraph of Section 5(a) of the Trust Agreement is hereby amended to read as follows:

The following Basic Lease Information is hereby incorporated into and made a part of the Lease between Landlord and Tenant to which it is attached. Each reference in the Lease to any of the Basic Lease Information shall mean the respective information set forth below, and such information is incorporated as a part of the terms provided under the particular Lease Section pertaining to such information. In the event of any conflict between any Basic Lease Information and the Lease, the former shall control.

[CONFORMED EMPLOYMENT AGREEMENT AS AMENDED] THIS AGREEMENT (“AGREEMENT”), dated as of August 26, 2002, [amended by First Amendment dated March 15, 2004] is entered into between Royal Caribbean Cruises Ltd., a company organized and existing under the laws of Liberia (together with its successor and assigns, the “COMPANY”), and Jack L. Williams (the “EXECUTIVE”). RECITALS Executive is currently employed by the Company as a senior executive officer and is an integral part of its management.
