THIS AMENDED AND RESTATED RIGHTS AGREEMENT (this “Agreement”), dated as of April 13, 2012, by and between Stratus Properties Inc., a Delaware corporation (the “Company”), and Computershare Shareowner Services (f/k/a Mellon Investor Services LLC), a New Jersey limited liability company, as Rights Agent (the “Rights Agent”), amends and restates the Rights Agreement, dated as of May 16, 2002, between the Company and the Rights Agent, as amended (the “Original Agreement”).
