S. Physical Therapy, Inc. a Nevada corporation (“Employer”) and Richard S. Binstein (“Employee”). Employer and Employee may be referred to herein collectively as the “Parties” and individually as a “Party.” For the purposes of this Agreement, “Employer” includes OPR Management Services, Inc., which is one of Employers affiliates and which serves as co-employer for Employer’s employees; for the purposes of Sections 11, 12, and 13 “Employer” shall include all subsidiaries and affiliates (as defined under the Securities Exchange Act of 1934, as amended and regulations promulgated thereunder).
