This LICENSE AGREEMENT (the “Agreement”) is executed as of July 17, 2013 (the “Effective Date”) by and between Ligand Pharmaceuticals Incorporated, a corporation organized under the laws of Delaware and having a place of business at 11119 North Torrey Pines Road, Suite 200, La Jolla, CA, 92037 (“Ligand”) and Azure Biotech, Inc., a corporation organized under the laws of Delaware and having a place of business at 500 East 85th Street, 19D, New York, NY, 10028 (“Licensee”).
