THIS AGREEMENT AND PLAN OF MERGER, dated as of July 8, 2019 (hereinafter referred to as this “Agreement”), is entered into by and among CITIZENS DEPOSIT BANK AND TRUST, INC., a Kentucky state chartered bank (hereinafter referred to as “Citizens”), PREMIER FINANCIAL BANCORP, INC., a Kentucky corporation (hereinafter referred to as “PFBI”), THE FIRST NATIONAL HOLDING COMPANY OF JACKSON, a Kentucky corporation (hereinafter referred to as “FNHC”) and THE FIRST NATIONAL BANK OF JACKSON, a national banking association (hereinafter referred to as “Jackson”).
