The Joint Venture Agreement (the "JV Agreement") was entered into by and between 21st Century Publishing Company of Jiangxi Province, China ("Party A") and Kid Castle Educational Software Development Company Limited ("Party B") on July 8, 2003 for the purpose of forming a joint venture company called 21st Century Kid Castle Cultural Media Co. Ltd. under the laws of the Republic of China (the "JV").
