This Employment Agreement (the “Agreement”) is entered into by and between Peter A. Thompson (the “Executive”) and Trubion Pharmaceuticals, Inc., a Delaware corporation (the “Company”) as of March, 21, 2008 (the “Effective Date”). This Agreement supercedes Executive’s Amended and Restated Employment Agreement with the Company dated March 29, 2006 (the “Prior Agreement”).
