THIS AGREEMENT (the “Agreement”), made and entered into as of the ____ day of ____________, 2011 by and among Jefferson National Life Insurance Company (hereinafter the “Company”), on its own behalf and on behalf of each separate account of the Company named in Schedule 1 to this Agreement, as may be amended from time to time by mutual consent (hereinafter collectively the “Accounts”), Panorama Series Fund Inc. (hereinafter the “Fund”) and OppenheimerFunds, Inc. (hereinafter the “Adviser”).

This agreement is made this 1st day of May 2012 by and among WILSHIRE VARIABLE INSURANCE TRUST, a Delaware statutory trust (the “Trust”), on its own behalf and on behalf of each of the series of portfolios set forth on Schedule A (each a “Fund” and collectively, the “Funds”), SEI INVESTMENTS DISTRIBUTION CO., a Pennsylvania corporation (“Distributor”), and JEFFERSON NATIONAL LIFE INSURANCE COMPANY, a life insurance company organized under the laws of the state of Texas (“Company”), on its own behalf and on behalf of each separate account of the Company set forth on Schedule B, as may be amended from time to time (each an “Account” and collectively the “Accounts”).
