THIS AGREEMENT is made, effective as of ___________, 2015, by and between ETFis Series Trust I (the “Trust”), on behalf of the Reaves Actively Managed Utility Fund (the “Fund”), Etfis Capital LLC, a Delaware limited liability company (the “Adviser”) and W. H. Reaves & Co., Inc., doing business as Reaves Asset Management, a Delaware “S” Corporation (the “Sub-Adviser”).
