First Alliance Mortgage Company, the "Company", and in its capacity as servicer of the Trust, the "Servicer", and First Alliance Mortgage Loan Trust 1997-4, as the "Purchaser", pursuant to the Pooling and Servicing Agreement dated as of December 1, 1997, (the "Pooling and Servicing Agreement") among the Company, the Servicer, and The Bank of New York, a New York banking corporation, in its capacity as Trustee (the "Trustee"), hereby confirm their understanding with respect to the sale by the Company and the purchase by the Purchaser of those Mortgage Loans (the "Subsequent Mortgage Loans") listed on the attached Schedules of Mortgage Loans.
