Exhibit 10.15 THE MIDDLEBY CORPORATIONGRANTOR TRUST AGREEMENTThis Grantor Trust Agreement (the “Trust Agreement”) is made this 1st day of April 1999, by and between THE MIDDLEBY CORPORATION (“the Company”) and WACHOVIA BANK, N.A. (“the Trustee”). Recitals (a) WHEREAS, the Company has adopted the nonqualified deferred compensation Plans and Agreements (the "Arrangements") as listed in Attachment 1; (b) WHEREAS, the Company has incurred or expects to incur liability under the terms of such Arrangements with respect to the individuals participating in such Arrangements (the "Participants and Beneficiaries"); (c) WHEREAS, the Company hereby establishes a Trust (the "Trust") and shall contribute to the Trust assets that shall be held therein, subject to the claims of the Company's creditors in the event of the Company's Insolvency, as herein defined, until paid to Participants and their Beneficiaries in such manner and at such times as specified in the Arrangements and in this Trust Agreeme
