SINA Corporation, a Cayman Islands corporation (the “Company”), proposes to issue and sell to Credit Suisse First Boston LLC (the “Initial Purchaser”), upon the terms set forth in a purchase agreement dated as of June 30, 2003 (the “Purchase Agreement”), US$100,000,000 aggregate principal amount of its Zero Coupon Subordinated Convertible Notes due 2023 (the “Initial Securities”). The Initial Securities will be convertible into ordinary shares, par value $0.133 per share, of the Company (the “Ordinary Shares”) at the conversion price set forth in the Offering Circular dated June 30, 2003 (the “Offering Circular”). The Initial Securities will be issued pursuant to an Indenture, dated as of July 7, 2003 (the “Indenture”), between the Company and The Bank of New York, as trustee (the “Trustee”).
