This Registration Rights Agreement (this “Agreement”) is being entered into as of April 10, 2006, by and among eBay Inc., a Delaware corporation (“Purchaser”), and the persons listed on Schedule 1 hereto (the “Investors”). The Investors and Purchaser are sometimes referred to in this Agreement individually as a “Party” and collectively as the “Parties.” Certain capitalized terms used in this Agreement are defined in Exhibit A.
