This Stock Purchase Agreement is entered into as of April 19, 2007, by and among Endwave Corporation, a Delaware corporation (the “Purchaser”), Russell Alm (the “Major Stockholder”) and the other stockholder and option holders of ALC Microwave, Inc., a Delaware corporation (“ALC”), listed on Schedule I hereto (referred to collectively with the Major Stockholder as the “Sellers”). Certain capitalized terms used in this Agreement are defined on Exhibit A.
