This Registration Rights Agreement (the “Agreement”) is made and entered into as of the 2nd day of July, 2007 by and between Transmeta Corporation, a Delaware corporation (the “Company”), and Advanced Micro Devices, Inc., a Delaware corporation, and shall be effective as of the Closing (as such term is defined in the Purchase Agreement) of the transactions contemplated by the Purchase Agreement.
