THIS LIMITED LIABILITY COMPANY AGREEMENT of BR HAWTHORNE SPRINGHOUSE JV, LLC (“JV” or “Company”) is made and entered into and is effective as of December [3], 2009, by and between BR Springhouse Managing Member, LLC (“Bluerock”) and Hawthorne Springhouse, LLC, a North Carolina limited liability company (“Hawthorne”) (this “Agreement”).
