This AGREEMENT is made this 27th day of January, 2011, by and between Protective Life Insurance Company (the "Insurer"), a life insurance company domiciled in State of Massachusetts, on its behalf and on behalf of certain segregated asset accounts of the Insurer listed on Exhibit A to this Agreement (the "Separate Accounts"); Federated Insurance Series (the "Investment Company"), a Massachusetts business trust; and Federated Securities Corp. (the "Distributor"), a Pennsylvania corporation.
