This AMENDED AND RESTATED CREDIT AGREEMENT is entered into as of November 30, 2015, among CRAFT BREW ALLIANCE, INC., a Washington corporation (the “Borrower”), the Guarantors (defined herein), and BANK OF AMERICA, N.A., as the Lender.

THIS AMENDED AND RESTATED SECURITY AGREEMENT (this “Agreement”), dated as of November 30, 2015, is made by and among CRAFT BREWERS ALLIANCE, INC., a Washington corporation (the “Borrower” and a “Grantor”), EACH OTHER PERSON WHO SHALL BECOME A PARTY HERETO BY EXECUTION OF A SECURITY AGREEMENT JOINDER (each a “Grantor” and together with the Borrower, collectively, the “Grantors”), and BANK OF AMERICA, N.A., as Lender (as defined in the Credit Agreement referenced below; in such capacity, the “Bank”) on behalf of the Secured Parties (as defined in the Credit Agreement referenced below). All capitalized terms used but not otherwise defined herein shall have the meanings ascribed to such terms in the Credit Agreement.

THIS AMENDED AND RESTATED CONTINUING AND UNCONDITIONAL GUARANTY (this “Guaranty”), dated as of November 30, 2015, is being entered into among EACH OF THE UNDERSIGNED AND EACH OTHER PERSON WHO SHALL BECOME A PARTY HERETO BY EXECUTION OF A GUARANTY JOINDER (each a “Guarantor” and collectively the “Guarantors”) and BANK OF AMERICA, N.A., as Lender (as defined in the Credit Agreement referenced below; in such capacity, the “Bank”) on behalf of the Secured Parties (as defined in the Credit Agreement referenced below).
