The Distribution Agreement made the 13th day of June, 2001, between PACIFIC FUNDS (the “Trust”), a Delaware statutory trust, and PACIFIC SELECT DISTRIBUTORS, INC. (the “Distributor”), as distributor of shares of the Trust (the “Agreement”), is hereby amended by the addition of the provisions set forth in this amendment to the Agreement (“Amendment”), which is made this 8th day of June, 2005 (the “Effective Date”).

(“Fund Manager”), a Delaware limited liability partnership organized under the laws of the State of Delaware, and Pacific Funds, a Delaware statutory trust (“Fund”), is hereby amended to add the provisions set forth below (together the “Amendment”), which is made this 22 day of August, 2006.

The Expense Limitation Agreement made the 13th day of June, 2001, between PACIFIC FUNDS (the “Trust”), a Delaware statutory trust, and PACIFIC LIFE INSURANCE COMPANY (the “Adviser”), a Nebraska Corporation, as amended to date (the “Agreement”), is hereby further amended by the addition of the provisions set forth in this amendment to the Agreement (“Amendment”), which is made this 29 day of June, 2006. This Amendment supersedes the prior amendment (dated May 17, 2005) and is effective June 20, 2006.
