This Key Employee Retention Agreement (“Agreement”) relates to your appointment as [TITLE] of Emulex [name] Corporation, a [California or Delaware] corporation (the “Company”), which is an affiliate of Emulex Corporation, a Delaware corporation (“Emulex”).
