This STOCK PURCHASE AGREEMENT (the “Agreement”) is made and entered into as of May 31, 2007 (“Closing Date”) by and among CorVel Enterprise Comp, Inc., a Delaware corporation (“Buyer”), The Schaffer Companies, Ltd., a Maryland corporation (the “Company”), Christopher Schaffer, Dawn Colwell, Kelly Ribeiro de Sá and John Colwell (collectively, the “Shareholders”).
