Grubb & Ellis Securities, Inc., a California corporation, as the dealer manager (“Dealer Manager”) for Grubb & Ellis Healthcare REIT, Inc., a Maryland corporation (the “Company”), invites you (“Dealer”) to participate in the distribution of shares of common stock (“Shares”) of the Company subject to the following terms. Capitalized terms not otherwise defined herein shall have the meanings set forth in the Dealer Manager Agreement between the Dealer Manager and the Company dated September 20, 2006 in the form attached hereto as Exhibit “A” (the “Dealer Manager Agreement”).
