Reference is made to that certain Partnership Agreement (the "Purchase Agreement") between JMB Income Properties, Ltd.-XII ("Assignor") and Topanga Plaza LLC ("Assignee") respecting, among other matters, the assignment to Assignee of Assignor's partnership interest in Topanga Plaza Partnership.
