The undersigned, Marshall & Ilsley Corporation, a Wisconsin corporation (the “Company”), proposes to issue and sell up to $500,000,000 aggregate principal amount of medium-term notes (the “Securities”) of the Company, which may be senior or subordinated obligations of the Company to be issued, in the case of senior notes, pursuant to the provisions of an indenture (the “Senior Indenture”) dated as of November 15, 1985, between the Company and The JP Morgan Chase Bank (formerly known as The Chase Manhattan Bank and as Chemical Bank, as successor to Manufacturers Hanover Trust Company), as Trustee (the “Trustee”), as supplemented by a first supplemental indenture dated as of May 31, 1990, and a second supplemental indenture dated as of July 15, 1993 or, in the case of subordinated notes, pursuant to an indenture (the “Subordinated Indenture” and together with the Senior Indenture, the “Indenture”) dated as of July 15, 1993, between the Company and the Trustee.
