THIS AMENDED AND RESTATED VOTING AGREEMENT, entered into as of June 6, 2005, between the undersigned shareholder (the "Shareholder") of MED-I-BANK, INC., a Michigan corporation (the "Company"), and METAVANTE CORPORATION, a Wisconsin corporation ("Parent") ("Shareholder" and "Parent" are collectively referred to herein as the "Parties" and individually as a "Party"), amends and restates the original Voting Agreement, dated as of May 9, 2005 (the "Original Voting Agreement"), between the Shareholder and Parent in its entirety.
