AGREEMENT AND PLAN OF MERGER, dated as of December 1, 2006 (this “Agreement”), between UNITED HERITAGE BANKSHARES OF FLORIDA, INC., a Florida corporation (the “Seller”), and MARSHALL & ILSLEY CORPORATION, a Wisconsin corporation (the “Company”).
