CREDIT AGREEMENT, dated as of June 23, 2011, by and among KOHL’S CORPORATION, a Wisconsin corporation (the “Borrower”), the lenders party hereto (together with their respective assigns, the “Lenders”, each a “Lender”), Wells Fargo Bank, National Association (“Wells Fargo”) and U.S. Bank National Association (“USB”), as syndication agents, Morgan Stanley Bank, N.A., as documentation agent, Bank of America, N.
