THIS WARRANT TO PURCHASE STOCK (THIS “WARRANT”) CERTIFIES THAT, for good and valuable consideration, the receipt of which is hereby acknowledged, TCW Asset Management Company LLC ("TCW"), is entitled to purchase the number of fully paid and non-assessable shares of the common stock, par value $0.001 per share (the "Common Stock") of SCHOOL SPECIALTY, INC.
