This GUARANTEE AGREEMENT (the “Common Securities Guarantee”), dated as of May 22, 2006, is executed and delivered by Sovereign Bancorp, Inc., a Pennsylvania corporation (the “Guarantor”), for the benefit of the Holders (as defined herein) from time to time of the Common Securities (as defined herein) of Sovereign Capital Trust V, a Delaware statutory trust (the “Issuer”).
