This Second Amended and Restated Receivables Sale Agreement, dated as of May 29, 2008, among AMETEK Receivables Corp., a Delaware corporation (the “Seller"), AMETEK, Inc., a Delaware corporation (the “Initial Collection Agent,” and, together with any successor thereto, the “Collection Agent"), the Related Liquidity Providers party hereto (the “Related Liquidity Providers"), Market Street Funding LLC (“Market Street"), the other Conduit Purchasers from time to time party hereto, PNC Bank, National Association, as agent for the Purchasers (the “Agent") and as the Market Street Purchaser Agent and the other Purchaser Agents from time to time to the party hereto.
