Agreement dated as of May , 2008 among Drew Scientific, Inc., a Texas Corporation (the “Purchaser”) and Subsidiary of Escalon Medical Corp., a Pennsylvania corporation; JAS Diagnostics, Inc., a Florida corporation (the “Company”); and the stockholders of the Company listed on Schedule I hereto (such persons, including Shareholders, being hereinafter sometimes referred to individually as a “Stockholder” and collectively as the “Stockholders”).
