THIS CERTIFIES THAT, for value received, H.F. Lenfest, or his registered assigns (each, a “Holder”), is entitled to purchase from Environmental Tectonics Corporation, a Pennsylvania corporation (the “Company”), at any time or from time to time during the Exercise Period (as hereinafter defined), the number of fully paid and nonassessable shares of the Company’s common stock, par value $0.05 per share (the “Common Stock”), set forth in Section 1 hereof, at the exercise price set forth in Section 2 hereof, subject to adjustment as provided herein. The term “Warrant Shares”, as used herein, refers to the shares of Common Stock purchasable hereunder. This Warrant has been issued pursuant to, and subject to the terms of, that certain Secured Promissory Note, dated as of February 20, 2009, issued by the Company to the Holder (the “Note”).
