SEI Investments Distribution Co., a Pennsylvania corporation, serves as distributor (the “Distributor”) to the Funds listed on Schedule A to this Agreement (the “Funds”). Each of the Funds listed on Schedule A is an open-end investment company registered under the Investment Company Act of 1940, as amended (the “Investment Company Act”). The Funds offer their shares (“Shares”) to the public in accordance with the terms and conditions contained in the Funds’ prospectus. The term “Prospectus” used herein refers to all of the prospectus(es) on file with the U.S. Securities and Exchange Commission (“SEC”), which are part of the Funds’ registration statement under the Securities Act of 1933 (the “Securities Act”) and, if applicable, the most recent statement of additional information. In connection with the foregoing you may serve as a participating dealer for the Funds (“Participating Dealer”) and, therefore, accept orders for the purchase or redemption of Shares, respond to shareholder in
