This is to confirm that, in consideration of the agreements hereinafter contained, the undersigned, Integrity Growth & Income Fund, (the "Fund"), an open-end, diversified, management investment company organized as a series of The Integrity Funds, a Delaware statutory trust, has agreed that Integrity Funds Distributor, LLC (f/k/a/ Integrity Funds Distributor, Inc.)
