AGREEMENT, dated as of March 28, 2012 between The Integrity Funds, (the "Trust") a statutory trust organized under the laws of the State of Delaware with its' principal place of business at One North Main Street, Minot, ND 58703 and Wells Fargo Bank, N.A. (the "Custodian"), a banking association organized under the laws of the United States of America with a principal place of business at Wells Fargo Center, Sixth and Marquette, Minneapolis, Minnesota 55479.

This is to confirm that, in consideration of the agreements hereinafter contained, the undersigned, Integrity Growth & Income Fund, (the "Fund"), an open-end, diversified, management investment company organized as a series of The Integrity Funds, a Delaware statutory trust, has agreed that Integrity Funds Distributor, LLC (f/k/a/ Integrity Funds Distributor, Inc.) ("Integrity"), shall be, for the period of this distribution agreement (the "Agreement"), the principal underwriter of shares issued by the Fund, including such classes of shares as may now or hereafter be authorized (the "Shares").
