ROWE PRICE DIVIDEND GROWTH FUND, INC., a corporation organized and existing under the laws of the State of Maryland ("Fund"), and T. ROWE PRICE INVESTMENT SERVICES, INC., a corporation organized and existing under the laws of the State of Maryland ("Distributor").
