THIS AGREEMENT is made and entered into as of this 1st day of March, 2004, by and among Fort Pitt Capital Funds, a Delaware business trust (the “Trust”), Fort Pitt Capital Group, Inc. a Pennsylvania corporation (the “Advisor”) and Quasar Distributors, LLC, a Delaware limited liability company (the “Distributor”).
