THIS INVESTMENT ADVISORY AGREEMENT is made as of the 1st day of January, 2006, by and between KINETICS PORTFOLIOS TRUST, a Delaware business trust (the "Trust") on behalf of its series the Market Opportunities Portfolio (the "Portfolio") and KINETICS ASSET MANAGEMENT, INC., a New York corporation (the "Adviser").

THIS AMENDMENT dated as of this 15th day of December , 2005, to the Custody Agreement, dated as of May 1, 2000 and Amendments to the Custody Agreement dated October 17, 2000 and March 29, 2001 (collectively, the "Agreement"), is entered into by and between Kinetics Mutual Funds, Inc., a Maryland corporation (the "Trust"), Kinetics Portfolio Trust, a Delaware business trust, and U.S. Bank, N.A., a national banking association (the "Custodian").
